RKKW advised on the purchase of convertible bonds

The law firm RKKW advised VALUE Closed-end Investment Fund on the conclusion of the investment agreement and the conditional purchase agreement for A series bonds convertible into shares of Cognor Holding S.A.

As a result of the conditional purchase agreement, VALUE Closed-end Investment Fund will acquire from 4Workers sp. z o.o. (majority shareholder of Cognor Holding S.A.) A series bonds convertible into shares of Cognor Holding S.A. with a value of PLN 100,000,000.

RKKW’s lawyers co-authored and negotiated the provisions of the investment agreement, the conditional bond purchase agreement and the other transaction documents (in particular the documents relating to the security to be provided).The activities of the team of RKKW Law Firm focused on the implementation of mechanisms to protect the interests of VALUE Closed-end Investment Fund, both during the acquisition of the bonds of Cognor Holding S.A. and during the conversion of these bonds into shares of this company in the future.
