RKKW provided advice to shareholders of Impera Capital ASI S.A.

The RKKW Law Firm provided advice to shareholders of Impera Capital ASI S.A. (http://www.imperasa.pl) during negotiations of transaction documentation concerning the terms of sale of the Company shares under the call announced by January Ciszewski.
As a result of agreements concluded, January Ciszewski announced a call for 4,869,331 shares of Impera Capital ASI S.A., constituting in total 62.18 per cent of that company’s equity, at PLN 1.92 per share.
The RKKW Law Firm represented the shareholders who undertook to sell all of the company shares held by them to the buyer under the call, i.e. Bougralo Management Limited undertook to sell 1,104,835 shares, Andrzej Ziemiński – 434,500 shares, Blefona Management Limited – 270,623 shares, TNK Investments – 348,045 shares, and Cezary Gregorczuk – 1,598,883 shares. The shares sold by these persons constitute in total 47.97 per cent of the company’s share capital and votes at the General Meeting.
Impera Capital ASI is a company listed at the Warsaw Stock Exchange. In its activity it focuses on the Private Equity/Venture Capital market, seeking investment opportunities in the IT, ITC, e-commerce as well as innovative product and service markets.
