The RKKW law firm provided advice for VIGO System S.A. – a public company that is the world leader in the production of uncooled infrared photon detectors – in the development of rules and implementation of the Incentive Scheme for key employees for the years 2021-2023, based on the Company’s financial instruments, and in the preparation of the Remuneration Policy for members of the Company’s governing bodies.
The goal of the Incentive Scheme was to introduce mechanisms to incentivise key employees of the Company and its subsidiaries (excluding one entity) to undertake activities aimed at intensifying the Company’s organic development and acquiring as high as possible financial results in the long term. The Incentive Scheme is to contribute to creating lasting ties between the Company and its Management Board Members, its key employees and its subsidiaries, which will ensure the maintenance of high level of professional handling of the Company’s and its subsidiaries’ business. As a result of the adoption of the Incentive Scheme in the Company, the Remuneration Policy for members of its governing bodies also changed.
In the development of assumptions of the Incentive Scheme, a unique method was used to determine the rules for subscription of shares by eligible persons from among subscription warrants issued under the scheme, which involved applying various options for amounts of payments made to the Company.
On the RKKW Law Firm’s part, the project was managed by Karol Maciej Szymański – Vice-President of the Management Board of RKKW, whereas legal services were provided by legal trainee Karolina Kobojek – Associate in the RKKW Law Firm, legal trainee Justyna Przybyłek – Junior Associate in the RKKW Law Firm, legal trainee Adriana Płatek – Junior Associate in the RKKW Law Firm.
