We advised the company Centralny Port Komunikacyjny sp. z o.o. (CPK) on due diligence, transaction structuring and negotiating the terms of a preliminary agreement to acquire a controlling stake of 38% in Torpol S.A. from Towarzystwo Finansowe Silesia sp. z o.o.
Torpol S.A. is a public company listed on the Warsaw Stock Exchange S.A., specializing in the modernization and construction of rail infrastructure. CPK’s capital commitment to an experienced contractor is expected to facilitate the construction of CPK’s so-called spokes, i.e. rail lines leading to the new airport, among other things. Key benefits of the deal will include mitigating the risk of not having the necessary contractor resources for CPK’s rail investments. The purchase will allow CPK to access Torpol’s executive competencies, and both parties to adjust the allocation of investment risk between the contracting authority and the general contractor.
